Contributor Terms
Effective October 22, 2026. Questions: hi@selltraces.ai
These Contributor Terms are an agreement between you and {{LEGAL_ENTITY}} ("Sell Traces", "we", "us"). They apply when you upload traces through the selltraces command line tool or manage them in the dashboard. They add to our Terms of Service. If the two conflict on a contributor topic, these Contributor Terms control.
Version 2026-10-22. You must accept the current version before each upload made under it.
1. Definitions
- Trace: a record of a session between you and a coding agent, such as Claude Code, Codex, Cursor, Gemini CLI or OpenCode, including your messages, the agent's replies, tool calls, tool results and session metadata, after processing by the CLI.
- Listed Trace: a Trace that passed our review and is available for inclusion in a Dataset.
- Dataset: a collection of Listed Traces from one or more contributors, packaged for licensing.
- AI Developer: a company, lab, university or other organization that builds, trains, evaluates or studies artificial intelligence models or systems.
- Sale: a paid license of a Dataset to an AI Developer.
- Net Revenue: the amount we actually receive for a Sale, minus payment processing fees, refunds, credits, chargebacks, and sales, use or similar taxes we are required to collect or pay on the Sale.
2. Eligibility
To upload Traces you must:
- be at least 18 years old and able to enter a binding contract;
- be a resident of the United States, and upload from within the United States, while uploads are limited to the US;
- provide accurate contact information and keep it current;
- hold only one contributor account; and
- not be barred from receiving payments under US law, including sanctions laws.
Anyone may use the CLI to preview Traces locally without meeting these requirements.
3. What you contribute
You decide which agents, projects and sessions are eligible, which projects are private, and which terms are blocked. The CLI processes your sessions on your device and uploads only Traces from projects you approved, after you confirm an upload plan. You are not required to upload anything.
4. You keep your rights
We do not take ownership of your Traces. You keep any rights you have in them, subject to the license below.
5. The license you grant
When you upload a Trace, you grant us a non-exclusive, worldwide license to:
- store, copy, process, analyze and score the Trace;
- redact, normalize, reformat and remove parts of it, but not otherwise change its substance;
- include it in Datasets; and
- sublicense it, as part of a Dataset, to AI Developers to train, fine-tune, evaluate, test, benchmark and research AI models and systems, and to make internal copies needed for those purposes.
We may also show prospective buyers small excerpts of Listed Traces and aggregate statistics, under a confidentiality obligation, to help sell Datasets.
This license is limited to those purposes. We will not publish your Traces to the public, use them in advertising, or sell your account details or identity as part of a Dataset.
You can end this license for any Trace that has not been included in a Sale by excluding it (Section 11). For a Trace included in a Sale, the sublicense granted to that buyer, and our license to the extent needed to support it, continue for the term of that buyer's license, which may be perpetual.
6. Your promises
For every Trace you upload, you promise that:
- you have the rights and permissions needed to grant the license in Section 5, including under any employment agreement, client contract, confidentiality obligation or software license that applies to the work in the session;
- uploading it does not breach any law or any agreement you are bound by;
- you have not knowingly included another person's confidential information, trade secrets or personal information, other than incidental details that redaction is designed to remove;
- you have not knowingly included secrets you have not rotated, malware, or content that is illegal to possess or share;
- the Trace records a real session and was not fabricated, generated, duplicated or altered to increase payouts; and
- the information you give us about yourself is true.
If you learn that a Trace breaks any of these promises, exclude it immediately and tell us at hi@selltraces.ai.
7. Redaction and its limits
The CLI redacts known patterns of secrets and personal information on your device, and we redact again on our servers. Redaction is automated and imperfect. It can miss secrets and personal information, and it cannot identify confidential business information, code or context that may identify you, your employer or others.
You remain responsible for choosing which projects to approve and which terms to block. Our redaction does not reduce your obligations under Section 6.
8. Review and listing
We may review, score, reject or remove any Trace at our discretion, including for quality, duplication, risk of sensitive content or suspected abuse. We are not required to list any Trace or to include any Listed Trace in a Sale. We do not promise that any Trace will sell.
9. Revenue share
For each Sale, we allocate the Sale's Net Revenue across the Traces in the Dataset, using a method we apply consistently to all contributors in that Dataset, such as weighting by length and quality score. You earn 70% of the Net Revenue allocated to your Traces. We keep the rest.
We may change the revenue share for future uploads by publishing a new version of these terms. A change will not reduce the share that applies to Traces you uploaded before you accepted the new version.
Estimates shown in the CLI or dashboard are for information only. They are not offers, quotes or payouts, and there is no guaranteed minimum.
10. Payouts
- Your share becomes payable only after we receive the buyer's payment for the Sale.
- You must connect a payout account through our payment provider and provide tax information we request, such as a Form W-9. We cannot pay you until you do.
- We pay on a schedule and above a minimum balance published in the dashboard. Amounts under the minimum carry forward.
- If a buyer obtains a refund or chargeback after we paid you, we may deduct your share of it from future payouts.
- We may correct errors in calculations, and may withhold amounts connected to suspected fraud or a breach of these terms while we investigate.
- You are responsible for your own taxes. We may issue tax forms, such as a Form 1099, as the law requires.
- You are an independent contributor, not our employee, partner or agent.
11. Excluding and deleting Traces
You may exclude any Trace that has not been included in a Sale at any time, using selltraces exclude or the dashboard. Excluded Traces are removed from listings immediately, will not be included in any new Dataset, and their content is deleted from our storage within 30 days, except where we must keep it to comply with law or resolve a dispute.
For Traces already included in a Sale, we will stop offering them in new Datasets at your request. We cannot revoke the license already granted to that buyer. If you tell us a sold Trace contains sensitive information, we will ask the buyer to delete it under their license terms.
12. Buyer obligations
We license Datasets only under written terms that require buyers, among other things, not to attempt to identify contributors, not to redistribute raw Traces, and to protect Traces with reasonable security.
13. Suspension and termination
You may stop contributing at any time, and you may close your account by emailing us. We may suspend or terminate your contributor account if you breach these terms, if we suspect fraud or abuse, or if the law requires it.
When your account closes, your unsold Traces are treated as excluded under Section 11. We will pay earned amounts that become payable, unless the account was closed for fraud or a material breach. Sections 5 (for sold Traces), 6, 7, 9 and 10 (for earned amounts), and 11 to 17 survive termination.
14. Changes to these terms
We may update these terms by publishing a new version with a new version date. Each upload is covered by the version you accepted for it. The CLI and dashboard will ask you to accept a new version before your next upload. If you do not accept, you can keep managing and excluding existing Traces but cannot upload new ones.
15. Disclaimers and limitation of liability
The disclaimers, limitation of liability and other general terms in our Terms of Service apply to your contributions. Nothing in these terms limits a payment you have earned under Sections 9 and 10.
16. Indemnity
You will defend and indemnify Sell Traces against third-party claims arising from a Trace you uploaded in breach of Section 6, including claims by an employer or client that you did not have the right to share it.
17. Governing law and disputes
These terms are governed by the laws of the State of {{GOVERNING_STATE}} and applicable US federal law. The dispute resolution terms in our Terms of Service apply.
